    There’s never a dull moment on the London Alternative Investment Market (AIM) particularly when one is trying to work out whether we’re being sold a ’pup’. You’ve got to go through all the available documents line by line, then re-read each and every document line by line. As well as using all available sources to see what you can come up with, such as what the company are involved with below the radar and how this could affect value going forward. (More on this below)

    Such is the convoluted nature of the Saffron Energy Reverse Takeover. Black-tie events apart & the machinations of Po Valley assets in,  out, suspension, relist, suspension, relist, AGM dates constantly re-jigged etc. The information saturation on this one would take its toll on the patience of a saint.

    But now all finally seems to be coming to fruition. The well-known corporate bastard, (CB) James Parsons (JP) and his team of lessor corporate bastards are now ready to and no doubt raring to go. Being classed as a ’Corporate bastard’ may ‘sound’ (No pun intended) harsh. Far from it. Again, unless you’re steeped in corporate culture you’d not realise that this is a worthy accolade, of sorts….. A corporate bastard gets the job done for his/her shareholders and the benefit of the company. Warren buffet is a corporate bastard. The head of BP is a corporate bastard. They are bringers of value. They do what is necessary regardless of short term pain for long term gain. When choosing an investment or a short-term trade always bet on the CB. Proven management bring value. Proven shysters lose value.

    All too often we as investors/traders are sold down the river by corporate shyster lifestyle companies operating on the AIM, it’s littered with them, in fact it’s like a backed-up lavatory at a Japanese POW camp, literally over-flowing. I’ve watched and followed the bowel movements of these companies and have written and exposed many of the dirty tricks that they try to pass off as good business when it’s anything other than good. So, it makes a change when a real opportunity comes along. Such as Sound Energy that hit over £1 & the great Echo bonanza that rallied to over 25p in the first few months of development.

    At the moment we all await the Saffron AGM which is nothing but a rubber stamp of the proposed terms of the RTO. Trying to cut through the corporate speak and get to the nitty-gritty of what comes out of the other end has in my opinion not been very well communicated to share-holders and those looking to trade/invest post the AGM ratification of the RTO.

    So, I’ll break it down into common parlance. Layman’s terms. I’ll also give the readers of my most wonderful blog site the heads up on what is currently going on in Indonesia. Humpty Dumpty

    Pre-the AGM there’s 200,000,000 million Saffron shares in issue. Post AGM, on the 29th March 2018, there will be a new company formed: Coro Energy (LON: CORO) with team JP at the helm.

    Shares in issue will be 716,809,735. Warrants & Options outstanding will amount to 236,817,341. The warrants will have a strike price of 6.57p, the placing shares have been sold at 4.38p per share. There will be circa $15M in cash, virtually debt free with bread & butter production. The Company’s cornerstone investor, CIP, together with Continental Investment Partners S.A.,Metano Capital S.A. and Greenberry S.A, Marco Fumagalli and James Parsons have been classed as a ‘Concert Party’ they will hold, post AGM, 22.82%. Po Valley will, unless they’ve been selling pre AGM , hold 100,000,000 (13.95%). There will also be an open offer of 45,662,100 shares to existing shareholders. There will be a plethora of ‘Lock ins’ on stock held, most will stick to the lock in. But me being me I don’t set much store by them. One lot who will be slowly drip feeding into the rises will be Po Valley. Regardless of what they say….

    Following the AGM ratification, in aggregate, the Company will own 2P (proved and probable) gas reserves of 205.10 MMscm, 2C (contingent) gas resources of 660.20 MMscm, and 2C oil resources of  2.40 MMbbls. The best way to understand the structure of the newly formed entity is the pictograph (Right).

    The asset base post AGM will be cash generative which will increase as Coro invest and rework over existing and new fields in Italy.

    Now the main direction of Coro will begin to focus on South east Asia, Indonesia and Malaysia.

    I was down as a placee until the suspension and pulled out due to the ever-changing time line of readmission and terms. Now PVO are out, which is a much better value driver for Coro. Too many CEOs aren’t good for stability. Just as too many cooks spoil the broth, too many CEOs fuck the company up. Now they’re out. That’s good news all round.

    It’s known by ‘Yours Truly’ that Coro are in advanced negotiations with several Indonesian oil & gas companies and are in talks with the Indonesian state-owned oil company PERTAMINA.  One of their new directors, Ilham Habibi, (Son of a former President of Indonesia) has direct access to the top echelons of PERTAMINA. I know this because I met Mr Habibi in Indonesia last year. (I was on Sefton business) Several of the assets I toured were up for grabs including a 10 Million scuffs a day gas producer with half a TCF resource. And a 3,000 bopd asset owned by Fosters oil. So, you can take it as read that there’s going to be multi TCF Indonesian exploration/production assets brought into Coro some time in 2018.

    Any news on big exploration gas/oil licences or producing oil/gas assets will set the share-price on fire. It’s a no-brainer that the SP will rise. The question isn’t ‘if’ it’s when. Any thing under 5p is a steal. Any one selling now will rue the day…  I’ve set a target between 12p-15p over the next 12 months. And as ever will closely follow the news and the developing story. Investors should do likewise, keep researching them. It will pay off.

    I have to ‘fess up’ that I’ve been holding/buying shares in Saffron for quite some time!   🙂

    The clock is ticking on New World Oil & Gas (LON: NEW).  Investors and holders of the stock will be all too aware of the travesty that has unfolded since the ill-fated short squeeze that was organised by Metal Tiger (LON: MTR) & the band of ‘merry’ pump & dumpers who lie through their teeth and continue to lie. One sap was telling investors that NEW were “The share of the year”.

    Of course those with a brain that can actually function beyond the ramptastic lies spat out on an industrial scale by the BB Loons and twitter trolls know all too well, that the Company has a huge task ahead, if it’s going to come back from suspension. The loss to shareholders has been in the millions.

    I caught up with City of London sources last week and again yesterday. What I was told and basically already knew, is that the blame for the company being were it is right now is firmly resting on the deluded heads of the wannabe ‘NEW’ Director, internet troll, Gary Bullivant and the scumbag, drug dealer Ben(t) Turney, who’ve been constantly making accusations all year round, behind the scenes, regarding conspiracies and fraud within the Company. Bombarding the FCA, Aim Regulation, Nomad and anyone and everyone who will listen with emails and telephone calls, while orchestrating others to do the same. The Big Sofa deal crumbled under that weight. The toxic poison of, in the main, unfounded allegations and conspiracy theories, eventually killed the Big Sofa Deal.

    Solicitor’s, which are costly, are now having to sort out the mess and once again Adam Reynolds has to mop up the vomit…..

    The toxicity of Messrs Bullivant & Turney has brought the Company close to extinction. Bullivant is trying to get on the Board of Directors. His corporate qualifications are non-existent. He is an online troll, a blood sucking tick seriously damaging New Shareholders.  The Big Sofa deal could have propelled the sp towards many multiplies of where it now languishes. Reynolds had worked tirelessly for months to get that deal signed off. It is now dead in the water specifically because of the poisonous Bullivant.

    Share-holders should back Adam Reynolds and vote down Bullivant, at the forth-coming AGM 04 November 2016, otherwise they could end up with Reynolds walking away. My sources are telling me that Adam Reynolds was very close to throwing in the towel but was persuaded to stay and finish the restructuring.  If Reynolds walks then it will be the end of New World Oil & Gas. There isn’t a Nomad who will touch them or work with Bullivant. What will happen is this. Turney will then come in and attempt to hijack what little money is left in the company. In the same way as he’s tried and failed with Sefton Resources.

    Remember this is the Bullivant who tried to extort tens of thousands of pounds for ‘investigative services’ from the ill fated CFO of Sefton Resources, Raylene Whitford. A completely deluded man who thinks he’s James Bond but actually looks like a Nonce on protection in jail. I’ve read all of his emails to Whitford, believe me he is a fantasist with no idea whatsoever of the inner workings of the corporate world, his presence on the board will destroy the Company. It is TOXIC. In the requisition for the resolution you can read just how off the pace he his, describing Reynolds as the ‘CEO’. Reynolds is a Non Executive Director.

    Adam Reynolds is a good guy, one of the few. His history is one of successful turnarounds. He should be taken very seriously when he states thus:  “The Board does not believe that there is any need for Gary Bullivant to be appointed as a director of the Company nor for the Company to incur additional costs that such an appointment is likely to entail.” 

    I expect to hear ONLY AFTER the AGM if the Nomad, Beaumont Cornish  will stay on. My guess is that if Bullivant gets on the Board and Reynolds walks then the Nomad will not continue. If share holders vote Bullivant down then you are all back in the game with a Nomad. That is the choice facing NEW shareholders.

    If there are any share-holders left who can be bothered to vote then vote this ‘crank’ down otherwise it could very well be the final curtain.

    As AGM’s go this one ran very smoothly the chairman’s welcome went down well and we moved onto the formal matters at hand ALL resolutions were duly passed and the presentation was a good account of matters already known Except the appointment of Paul Doble. This raised eyebrows among my group. Doble has been roped in to the Catcher discovery as the Catcher development officer now some will see that as a significant development as Doble was the Project development guru on Buzzard! The Q=A session was rather dull with the Board refusing to be drawn on any questions that they considered close to the bone(price sensitive). Bloody typical!No point taking the Mic for a question as it became crystal clear that they would not be erring from their script!

    However Dan’s Brigade did manage to speak to two of the directors. After much small talk about the venue(Lovely decor’) we managed to put a good few questions to them about their whole strategy vis-a-vis asset sales and takeovers. We got the distinct feeling that this line of questioning was having an uneasy effect on them. Could it be that Encore are already in discussions with other parties?  I did detect a very quick lowering of the eyes when we asked who if any were after encore’s oil. “Well It’s still all up in the air at the moment” came the reply! “The more oil we can prove up the bigger the fish we will attract” and therein folks lies the key to the whole Encore strategy. Encore are talking the talk but their will be no asset sale or takeover until the figures are in for Cladhan and Catcher then Encore will be gobbled up one way or another.

    As for price on any takeover the best that can be said is that a 200p minimum isn’t beyond the realm of plausibility. It could be higher it could be lower. All depends on the prevailing global market sentiment which is plummeting as we speak. We could end up with about a quid the way it’s going. Big problems looming on the Global financial stage.

    We did speak and network amongst the great unwashed. One chap/investor was a very interesting character having been an army officer who served in Northern Ireland,Falklands, he’d left the army 7 months after the Falklands conflict. He was convinced that Port Stanley was going to become the biggest oil terminal this side of the North sea!

    All in all I’d say that Encore know exactly where they are going no worries here!

    Exit price for me 130+p.
