    The Nostra Terra Oil & Gas CEO Shorting Scandal. FCA Investigating.

    loginAs most of you already know Nostra Terra Oil & Gas (LON; NTOG) CEO Matt Lofgran is now mired in a shorting scandal. That scandal in a nutshell is thus;  Lofgran borrowed money from Yorkville (Known Death Spiral Shorters) to buy shares. Having bought the shares he then lent some of them to Yorkville. Yorkville shorted those shares using the CEO’s loaned stock and when they closed their short positions returned some (but not all) of the shares back to Matt. The shares which Yorkville kept they sold and ML didn’t have to repay the loan he took out. Not one single penny came from Lofgran.

    At the time of the shorting Lofgran was heavily promoting NTOG. Knowing full well that Yorkville/YA Global were shorting them using his ‘loaned stock’. At the time of the warrant exercise Lofgran stood to make close to £1,000,000. In the RNS of  7th October 2013 Lofgran again lied to the market, which declared an increase in Lofgran’s holdings of 83,956,296 when in fact his holding had decreased by 71,043,704. You can confirm that HERE  Loaning 155,000,000 shares then getting back 83,956,296 shares isn’t an increase in your holdings it is a DECREASE.

    There are other details / strands to the story not highlighted above, but in a nutshell ML facilitated and was complicit in the shorting of NTOG for his own personal financial gain to the financial detriment of shareholders. You can read the facts HERE That makes his position as CEO UNTENABLE. He has to RESIGN.

    Now some where along the line over the last few days, Nostra Terra contacted Tom Winnifrith or TW contacted them. In their attempts to spin their way out via a damage limitation exercise. It matters not who initiated. Listening to Tom’s bearcast yesterday, on ShareProphets which you can HEAR HERE. It became apparent that TW had not cross-referenced the evidence against Lofgran before coming out to back him. He had taken the word of NTOG/Yorkville as the truth. After an email string of 28 emails between myself and Winnifrith the penny finally dropped. He now has some of that evidence. I have written confirmation from the FCA that Yorkville/YA Global placed those shorts and that those shorts were LIVE. Whoever from Nostra and Yorkville it was that tried to mug Winnifrith off with lies regarding the Yorkville shorts should take note.

    A pissed off Tom Winnifrith is not a man any tiddler on the AIM casino can afford. Lying to cover up lies never works. Winnifrith is far more adept and experienced than myself at exposing corruption.

    Shareholders should be under no illusions, these are gravely serious matters and ones which require due attention by the relevant authorities. 

    Contravention of Directors’ duties:
    The nature of the transactions / events are in contravention of the legal and fiduciary duties which the director(s) involved have toward the shareholders of the company.  I refer in particular to (but not limited to) Sections 171-177 of Companies Act 2006.  

    Further, and for the avoidance of doubt, it is considered that the CEO had established ‘special factual relationship’ with the shareholders in this case.  It is apparent he held a duty of disclosure of material facts to the shareholders and that he had an obligation to use commercial and financial opportunities, which had been acquired by him in office, for the benefit of the shareholders, and not to prefer and promote his own interests at the expense of the shareholders.  

    It's all happening here.Prior to the provision of the personal loan, YA had signed a SEDA with NTOG. It is understood that because the market price had subsequently fallen below floor price per the SEDA agreement, YA was unable to execute on the SEDA. The Loan Shares were used instead as a mechanism to enable YA to secure NTOG equity, leading to their shorting the stock.

    The apparent misalignment of the interests of ML with those of the shareholders. ML made personal gains (he profited from being able to exercise warrants because of the finance provided by YA, who in turn profited by using the shares he provided to destroy company and share holder value) whilst the share price dropped c. 30% during a year in which the oil price increased c. 20%;

    Share holders are now calling for an RNS from Nostra to do what they have been trying to do behind the scenes and that is to explain exactly what went on. Winnifrith has now asked for the Company to issue a statement and inferred that if the facts are as set out then Lofgran has to Resign. I have to tell investors that no RNS or statement will come. Because Nostra/Lofgran would have to impugn the integrity of the FCA. In other words they would have to call the FCA liars. The facts are crystal clear. Yorkville/YA Global placed shorts on Nostra using the CEO’s ‘Loaned Stock’ Lofgran made huge personal financial gains and was complicit in that shorting, furthermore Lofgran yet again deceived the market in the Holdings RNS of 7th October 2013.

    In my experience, when CEO’s are exposed for malfeasance within their Company they will twist and turn at every opportunity to try to deflect away from that malfeasance. Which is exactly what’s happening right now.

    There will be no RNS because Lofran cannot get the FCA to lie. And it is only official FCA confirmation that counts, such as the official FCA confirmation that I have in my possession that confirms that Yorkville/YA Global placed those shorts and those shorts were LIVE.

    Resign immediately Lofgran. It’s not going away.

  • Sound Oil Tight Lipped & Nervous on Nervesa.

    Sound Oil (LON: SOU) have been quietly going about doing the business in Italy.  The share price hasn’t really done any thing other than mainly stay static. 10.5/11p. It’s actually maintained a stable holding pattern considering the oil price has plummeted, while news has been sparse. The strength of the Company fundamentally and asset wise is reflected by the stability in the share-price. Every thing is now lined up. Cornerstone investor, two producing assets, cash revenue coming in, Italians (ex-ENI) all in place on the Board, Italian bureaucracy, streamlined, High net worth’s involved, Nervesa about to be drilled, Cash in the bank, basically debt free. Lot of maneuvering  has gone on to get Sound oil to this place in time. Lift off is here.

    When I say ‘sparse’ I mean the Company are deliberately tight lipped. Always a sign that they’re sat on price sensitive news and don’t want a leak to ‘outside of the tenters’ such as yours truly.  A communications lock down means they’re ‘nervous on Nervesa.’

    There’s a lot of news about to come through as they gear up for what the Company describe as  ‘an exciting period of back-to-back drilling’, which commences with site operations at Nervesa in a matter of  a few weeks or two. News has reached the blog that all is on track for a major  announcement over the coming week/s. Just what that is, isn’t known. But it’s almost certainly good news, bearing in mind that the flagship asset, Nervesa  is about to go ‘operational’. Once this is announced then it’s game on for the sp. It will begin to climb. I expect the sp to double in value from where it currently stands. Then we have news on the exploration play that is Badile. A massive gas play that would catapult Sound oil into the arms of a major international oil company, never to be seen again. Gone, taken over for the good of Italy.

    I’ve been trying to get an interview with the boy Parsons (CEO), the man’s a difficult fish to land. Particularly as he’s a frequent flyer, flying back and forth across Europe. Last spotted having a cappuccino with an Italian energy minister.  We’re not supposed to know that! It’s no wonder that Continental Investment partners (Sounds’ ‘cornerstone Investor’) have agreed to throw more cash into the hat via one of their affiliated partners Greenberry S.A. It’s money for jam for them. They know (Unlike most) that they’re going to get a hefty return on the investment. Nervesa remains a Major project for Sound Oil with an estimated NPV10 of circa US$66,000,000 million (100%). Which will probably rise.

    Tight lipped.

    I’ve been keeping my eye on Italy news wise. The Italian oil and gas permitting process has now been cleaned up making life a lot easier re’ the permitting process. This was announced back in late August of this year by their Prime Minister.

    Remember Nervesa is a huge gas discovery, once it comes on stream the sp should be transformed. It can only go one way. UP↑. Even as the oil price struggles Sound will reap huge benefits from Nervesa which is as those in the know know, gas, which is as those in the know know, highly sought after in Italy. Premium prices being paid.

    According to one recent article “Italy is the new Texas.” With over 40 small to middle oil companies on the verge of unlocking proven oil/gas resources. Sound Oil being one of them mentioned in the same article as? ENI!

    For all those familiar with the Sound Oil story here’s a quick update.

    There’s a Swiss clock ticking over at Sound Oil (LON: SOU) Hot off the press and following on from the James Parsons & Director Luca Madeddu UK private investor share-holder get together, after their successful presentation at the 67th Oil Barrel, news is coming through on BMD’s black telephone that there’s a secret, yes secret, private international investor presentation in the pipeline (at the request of an Institution) to be held some where in Europe. It’s all very ‘hush, hush’. So keep it quiet. We don’t want questions raised such as? ‘Why are international investors desperate to get there Swiss franc into Sound Oil just before a potential official farm-in RNS? Do we?

    These are not UK investors these are Swiss by birth. Are they private Bankers, Chocolatiers’ or makers of Swiss army knives? We don’t know, but what we do know is that It would seem this could be tied to an impending big news release on a potential International Oil Company farming-in to the huge exploration play that is Badile. This farm-in could be a Company Maker and when announced will push Sound oil stock like a juggernaut

  • Leni Gas & Oil. Twitchers!

    untitled (18)A lot of nonsense being written on Leni Gas & Oil over the last 4 weeks. Twitchers a plenty. So here’s the definitive story. It’s game on for Lenigas & Oil share-holders. Those like myself who have been holding onto our shares could be set to reap huge gains when production data from not one but four more Goudron wells begins to be released. Make no mistake here. This share price could and should rocket.

    I can exclusively reveal that the 1st Goudron well GY664 is ‘still’ on a restricted choke producing 240bopd without any loss of pressure. This is fantastic news. Here’s why. LGO have four more of these to come on production. Do the maths. The canny investor can make good gains here by simply holding for the news. I asked Mr Marmite (2 weeks ago). Are we going to get four separate RNS’s on each and every well that comes on production? It would seem so.

    Each Goudron RNS will be a leg up for the sp. Why? Because each RNS is going to increase the bopd significantly. You can bet your last shekel that those who took £7million pounds worth of stock were given ‘good’ information on where the LGO sp will be in 6months. By sheer force of logic it is elementary my dears. If they weren’t they wouldn’t have parted with the cash. So just what info’ was given?

    I suggested LGO release one big humdinger of an RNS when they have all 4 Goudron wells from pad 2 on full production producing over 1500 bopd. “We can’t do that, have to release material information as and when it happens, we can’t sit on it and besides it would leak out.”  I really should join Special Branch! “We can’t sit on it<sic> it would leak out” It just has!

    The 1,000 bopd target set by LGO looks to me to be as good as already surpassed. By my calc’s present bopd is between 400/600. There’s more oil going to come from the HOA (purchase) of  the Trinity-Inniss Field in south-eastern Trinidad,  which is close to the Company’s existing Goudron Field.  Inniss itself will add 140/150 bopd, just as it stands without any workovers or drills. We know what Goudron can do. Can Inniss do the same? We will soon find out.

    The Company have gone very quiet over recent weeks vis-à-vis market watchers, journalists & bloggers seeking information. Some may think that the recent placing has taken the fizz out of the sp. You couldn’t be more wrong. There’s been no big sell off. Those that know are awaiting the ramp up in production that we will get over the next 4 weeks or so.  Are we headed for 5p?  7p? Are we headed for 10p? It’s not a hard one to gauge. It’s going to rise. How high? I can see 8-10p very easily being hit (dependent on the news). But it is for each & every one to decide how they play their investments. More oil means more cash and it looks and feels as though LGO’s meteoric rise will continue.

    As it now stands the ‘scores on the doors’ are 765 ft of Gros Morne net pay from 3 Goudron wells with 2 more wells yet to give up their Gros Morne figures. We are looking at 1200+ ft of Gros Morne net pay from 5 wells. (I’ve not included the 110ft of Lower Cruse net pay) Remember if you’re a long term holder there’s another 25 of these and more than likely yet similar production from Inniss.  LGO assets are the Goudron Field IPSC,100%, the Icacos Oilfield 50%, the Moruga North leases 49% and the Cedros Peninsular leases, with 100% of Trinity Inniss on the way. Spain I’m ignoring.

    A catalyst here would be the spud of GY668. Which would put LGO only a couple of weeks away from announcing production from four more Goudron wells. This will be a huge driver of the sp.

    Mr Marmite has gone awfully quiet.  My emails and calls have gone mainly unanswered. Was he pissed that I told him off on the recent UKOG placing? No. I’m merely one of the many irritants that keep buzzing around his Companies trying to get information. DL accepts this with good humour.

    There’s one thing I’ve learnt over the years with Marmite.

    David Lenigas runs to form when he’s on a winner! He goes, contrary to popular belief, very quiet.

    It's all happening here.It’s a big call this week on Nostra Terra oil & gas. The inside line is that the much awaited increase in oil production has began in earnest. The known baseline extrapolated from what the company were saying in the last quarterly update was 60/65boepd. Remember these figures are always behind the time-line they’re actually a picture of what has already occurred. Investors & traders alike should seriously think on where the sp is heading should the numbers below come into play. There are big gains here for the shrewd, willing to take a position on increasing oil production equating to a rising sp.

Remember the next time a CEO comes calling at a seminar or a pie & a pint take advantage of it.  Lot of clever chaps/investors from the North (The Northern Barons) are pushing Lofgran for a meeting in Manchester. Now I’m willing to help organise this. I know just the place. It’s a lap-dancing bar, the drinks are rather expensive but I’m sure Nostra Terra with all the increased production can afford it!

    BMD Sources are intimating that oil production has moved upwards over the last week or two and may be heading for a summer peak of 150/200 barrels of oil equivalent per day. Now these figures are coming in-directly from good solid sources & of course my research. There’s also a rumour that Lofgran is eyeing up an acquisition. Can’t confirm this but I do know that the man is always wheeling and dealing in the market. For instance Matt has been busy in Africa. Of course Matt doesn’t want people to know that! But heyho they do know.

    Those that follow the tiddler will know that recent well results have all beaten expectations with 30 day IP’S (10 day Initial Production) ranging from 258 boepd to 555 boepd.

    The current state of play. CT15 (Curly 1-26H) 11.26% Now fracced almost certainly close to or actually producing.  The rig has gone.

    CT11 (Bugg 1-25H) 3.55% The rig has gone.Now producing. CT14 (Gant 1-22H) 20%  Last reported as being drilled. Close to being fracced. 2/4 weeks then production. Rig still on site.

    Nostra Terra have 15 wells in Chisholm Trail, 9 of which the company reported as “producing” with 6 in various stages of development. That information will be redundant by the summer of 2014.  NTOG will have close on 14/15 wells producing oil hence the belief/confidence that production is well and truly on the up.

    Let’s hope that the extra cash-flow gets used wisely. Eyes on Nostra Terra Oil & Gastar?
